Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Rhino Intelligence Ltd ("Company", "we", "our", or "us"), a company registered in England and Wales.

By accessing or using our Oil and Gas Project Development Toolkit (PDT) platform ("Service"), you agree to be bound by these Terms. If you do not agree, do not use our Service.

2. Description of Service

Rhino Intelligence provides a software-as-a-service (SaaS) platform for oil and gas project development, including:

• Technical equipment sizing calculators
• Cost estimation tools following AACE standards
• Financial modelling and Monte Carlo simulation
• Report generation and data export
• Project management and collaboration features

3. User Accounts

3.1 Registration

You must register for an account to use our Service. You agree to provide accurate, current, and complete information and to update it as necessary.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized use.

3.3 Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. If registering on behalf of an organisation, you represent that you have authority to bind that organisation.

4. Subscription and Payment

4.1 Pricing

Subscription fees are as stated on our pricing page. Prices are in GBP unless otherwise specified. We may change prices with 30 days' notice before your next billing cycle.

4.2 Billing

Subscriptions are billed monthly or annually in advance. Payment is processed via Stripe. You authorize us to charge your payment method on a recurring basis.

4.3 Free Trial

We may offer a 14-day free trial. After the trial, your subscription will automatically convert to a paid subscription unless cancelled.

4.4 Refunds

Subscriptions are non-refundable except where required by law. You may cancel at any time, and access will continue until the end of your current billing period.

5. Acceptable Use

You agree NOT to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated systems (bots, scrapers) to extract data systematically
• Share your account credentials with unauthorized users
• Infringe intellectual property rights of others
• Upload malicious code or content

6. Intellectual Property

6.1 Our IP

The Service, including all software, algorithms, cost databases, reference project data, documentation, and branding, is owned by Rhino Intelligence Ltd and protected by intellectual property laws. You receive a limited, non-exclusive licence to use the Service.

6.2 Your Content

You retain ownership of data and content you upload ("Your Content"). You grant us a limited licence to use Your Content solely to provide the Service. We will not use Your Content for purposes other than providing the Service without your consent.

6.3 Feedback

If you provide feedback or suggestions, we may use them without obligation to you.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE.
• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.
• WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Nothing in these Terms excludes liability for: (a) death or personal injury caused by negligence, (b) fraud or fraudulent misrepresentation, or (c) any liability that cannot be excluded by law.

9. Indemnification

You agree to indemnify and hold harmless Rhino Intelligence Ltd, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Engineering decisions made based on Service outputs

10. Termination

By You: You may cancel your subscription at any time through your account settings.

By Us: We may suspend or terminate your access immediately if you breach these Terms, engage in fraudulent activity, or for any other reason with reasonable notice.

Effect of Termination: Upon termination, your right to use the Service ceases. We will retain Your Content for 30 days for data export, after which it may be deleted. Provisions that by their nature should survive will continue in effect.

11. Data Protection

Our collection and use of personal data is governed by our Privacy Policy.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Continued use after changes constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and us.
• Severability: If any provision is found unenforceable, the remainder remains in effect.
• Waiver: Failure to enforce any right does not constitute a waiver.
• Assignment: You may not assign these Terms without our consent.
• Force Majeure: We are not liable for delays due to events beyond our control.
